User Access Terms

 
1. These Terms
1.1. We are Ethical Angel Limited, registered in England and Wales with company number 10760806 and registered address at Suite 216, 1 Filament Walk, Wandsworth, London, SW18 4GQ. Any reference to (“we”, “us” and “Ethical Angel”) is a reference to Ethical Angel Limited.

1.3. If we have to contact you, we will do so by telephone or by writing to you at the email address or postal address you provided to us during your registration with us.
1.4. These User Access Terms (“Terms”) set out the terms and conditions under which employees, agents,  independent contractors and other third-party individuals (“Users”) of private sector entities (“Members”) may use the online platform at www.ethicalangel.com (“Platform”) to provide public benefit services to projects, global causes, and charities (“Beneficiaries”) and their Users.
1.5. We may amend these Terms at any time by publishing the amendments on our website. If a User does not accept the amendments, they may stop using the Platform. If they continue to use the Platform after this date, they will be deemed to have accepted the respective amendments.
 
2. Accessing and Using the Platform
2.1. Users must be at least 18 years of age to access the Platform.
2.2. Any passwords or user identification codes that we provide to Users must be treated as confidential and must not be disclosed to anyone else.  Users are responsible for all activities that occur on or in connection with their respective Platform accounts and they must notify us immediately of any unauthorized access to or use of their Platform account. Users acknowledge and agree that we are not responsible or liable for any damages, losses, costs, expenses, or liabilities related to any unauthorized access to or use of their Platform account.
2.3. Users may only cancel their Platform account in accordance with their respective contract, in their account settings or by writing to us. We may terminate access to our Platform to any person if that person has breached these Terms.
 
3. Prohibited Uses
3.1. Users may use the Platform only for lawful purposes. They may not use the Platform:
3.1.1. in any way that breaches any applicable local, national or international law or regulation;
3.1.2. in any way that is unlawful or fraudulent or has any unlawful or fraudulent purpose or effect;
3.1.3. for the purpose of harming or attempting to harm minors in any way;
3.1.4. to bully, insult, intimidate or humiliate any person;
3.1.5. to send, use, upload or download any material that is defamatory to any person; is obscene, offensive, hateful or inflammatory; consists of sexually explicit material; promotes discrimination or violence; infringes any third-party intellectual property rights; induces terrorism; or promotes the spread of unverified information.
3.1.6. to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);
3.1.7. to knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.
3.2. Users also agree:
3.2.1. not to reproduce, duplicate, copy or re-sell any part of the Platform; and
3.2.2. not to access without authority, interfere with, damage or disrupt any part of our site; any equipment or network on which our site is stored; any software used in the provision of our site; or any equipment or network or software owned or used by any third party.
 
4. Assignment of intellectual property rights
4.1. By using the Platform Users agree to automatically assign to Beneficiaries absolutely and free of charge all their right, title and interest in and to any contribution they provide to the Beneficiary and/or its Users, including any goodwill and the right to bring, make, oppose, defend, appeal proceedings, claims or actions and obtain relief (and to retain any damages recovered) in respect of any infringement, or any other cause of action arising from ownership of such contribution.
4.2. The User assigning intellectual property rights under Clause 4.1 warrants that so far as they are aware, exploitation of the assigned rights will not infringe the rights of any third party.
4.3. The User, being the sole author of the contribution, waives their moral rights that may arise in relation to the contribution, and any broadly equivalent rights.
 
5. Breach of these Terms
5.1. Failure to comply with these Terms constitutes a material breach of the contract terms upon which Members, Beneficiaries and Users are permitted to use the Platform, and may result in our taking all or any of the following actions:
5.1.1. immediate, temporary or permanent withdrawal of the Member’s, Beneficiary’s or User’s right to use the Platform;
5.1.2. immediate, temporary or permanent removal of any contribution uploaded by a Member, Beneficiary or User to the Platform;
5.1.3. issue of a warning to a Member, Beneficiary or User;
5.1.4. further legal action against a Member or Beneficiary; and
5.1.5. disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.
5.2. We exclude our liability for all action we may take in response to breaches of these Terms. The actions we may take are not limited to those described above, and we may take any other action we reasonably deem appropriate.
 
6. Confidentiality
6.1. You may be given access to information of the respective Member, Beneficiary or User that is proprietary or confidential (“Confidential Information”).  You agree to hold the Member’s, Beneficiary’s or User’s Confidential Information in confidence and not make the Confidential Information available to any third party, or use the other's Confidential Information for any purpose other than the implementation of the respective contract.
 
7. Non-Member Users
7.1. Provisions set out in this Section 7 shall apply to any User who:
7.1.1. uses the Platform with a Member’s permission and/or using a Member’s user account(s); and
7.1.2. is not an employee, agent, independent contractor, or any other person acting under direct control of, or on the instruction of, the Member.
7.2. A person defined in Clause 7.1 shall be personally liable and responsible for their actions and/or omissions under the contract and these Terms, as well as for any services they provide (or fail to provide) to Members and their Users.
7.3. Provisions set out in this Section 7 shall take precedence over any conflicting provisions set out elsewhere.
7.4. Unless this Section 7 states otherwise, all provisions of these Terms applicable to Users shall apply equally to persons defined in Clause 7.1.
